1. Agreement to Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("Client") and AlphaCreative LLC ("AlphaCreative," "we," "us," or "our"), governing your access to and use of our services, website located at thealphacreative.com, and any related content, deliverables, or materials.

By engaging our services, signing a proposal, scheduling a consultation, making a payment, or accessing our website, you confirm that you have read, understood, and agree to be bound by these Terms.

If you do not agree to these Terms, you should not use our services.

2. Services Provided

AlphaCreative provides strategic marketing, branding, and digital growth services including but not limited to:

  • Brand strategy, positioning, and identity development

  • Website design, development, and conversion optimization

  • Paid media strategy and campaign management (Google, Meta, LinkedIn, etc.)

  • Search engine optimization (SEO) setup and monitoring

  • Analytics configuration and KPI dashboard development

  • Strategic marketing advisory and ongoing retainer services

The exact scope, deliverables, timelines, and fees for each engagement are defined in the applicable proposal, Statement of Work (SOW), or service agreement executed between AlphaCreative and the Client.

These Terms apply to all engagements unless otherwise explicitly modified in writing.

3. No Guarantee of Results

AlphaCreative provides strategic marketing services and applies data-driven frameworks designed to improve marketing performance.

However, AlphaCreative does not guarantee any specific results, including but not limited to:

  • revenue increases

  • lead generation volumes

  • conversion rates

  • search engine rankings

  • website traffic levels

  • return on advertising spend (ROAS)

  • return on investment (ROI)

Marketing outcomes depend on numerous factors beyond AlphaCreative’s control, including:

  • product quality and competitiveness

  • pricing strategy

  • market demand and economic conditions

  • competition within the client’s industry

  • advertising platform algorithms and policies

  • advertising budgets

  • client responsiveness and internal execution

Any case studies or examples of past performance are illustrative only and do not guarantee similar outcomes for any future client.

4. Client Responsibilities

To enable AlphaCreative to perform its services effectively, the Client agrees to:

  • Provide accurate and complete information when requested

  • Provide necessary assets, approvals, and feedback within reasonable timelines

  • Grant access to relevant platforms, accounts, or systems required to perform services

  • Ensure all materials provided do not infringe upon third-party intellectual property rights

  • Allocate agreed advertising budgets where applicable

AlphaCreative is not responsible for delays or diminished results caused by the Client’s failure to provide necessary information, approvals, or access.

5. Payment Terms

Unless otherwise specified in writing:

  • Project engagements require a 50% deposit prior to commencement of work

  • Remaining balances are due according to project milestones or upon completion

  • Monthly retainer services are billed in advance and renew automatically unless cancelled

  • Invoices are payable within 14 days of issuance

  • Late payments may incur a 1.5% monthly interest charge

AlphaCreative reserves the right to suspend services for accounts with overdue balances.

All fees are quoted in USD and the Client is responsible for applicable taxes or payment processing fees.

6. Refund Policy

Due to the strategic and creative nature of our services:

  • Deposits are non-refundable once work has commenced

  • Monthly retainers are non-refundable once the service period begins

  • If AlphaCreative fails to deliver agreed services due to our own failure, we may offer a prorated refund or service credit at our discretion

Refund requests must be submitted in writing within 7 days of the disputed invoice date.

7. Intellectual Property

Upon full payment, the Client owns the final deliverables created specifically for the Client.

However, AlphaCreative retains ownership of:

  • proprietary frameworks

  • templates and methodologies

  • internal systems and processes

  • marketing strategies developed as part of our intellectual property

Third-party assets such as fonts, stock images, and software remain subject to their respective licenses.

AlphaCreative reserves the right to display completed work in our portfolio unless confidentiality is requested in writing.

8. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the engagement.

AlphaCreative will not disclose confidential Client information to third parties without consent except where required by law.

9. Use of Artificial Intelligence Tools

AlphaCreative may use artificial intelligence tools to assist in:

  • research

  • draft content creation

  • campaign analysis

  • data interpretation

All AI-assisted outputs are reviewed and approved by a qualified AlphaCreative team member prior to delivery.

Client data will never be sold or used to train AI systems in identifiable form.

Clients may request AI-free workflows where operationally feasible.

10. Limitation of Liability

To the maximum extent permitted by law, AlphaCreative’s total aggregate liability arising from these Terms shall not exceed the total fees paid by the Client during the three months preceding the claim.

AlphaCreative shall not be liable for:

  • lost profits

  • lost revenue

  • loss of business opportunity

  • indirect or consequential damages

11. Advertising Platform Risk

AlphaCreative does not control third-party advertising platforms such as Google, Meta, or LinkedIn.

AlphaCreative is not responsible for:

  • ad account suspensions

  • platform policy changes

  • algorithm changes

  • campaign disapprovals

  • changes in platform pricing or reach

Advertising accounts remain the responsibility of the Client.

12. Termination

Either party may terminate an engagement with 30 days written notice.

Upon termination:

  • outstanding invoices become immediately payable

  • AlphaCreative will deliver completed work product

  • services will cease at the end of the notice period

13. Force Majeure

AlphaCreative shall not be liable for failure or delay in performing obligations due to events beyond its reasonable control, including but not limited to natural disasters, war, pandemics, government actions, internet outages, or platform disruptions.

14. Independent Contractor

AlphaCreative operates as an independent contractor. Nothing in these Terms shall be interpreted as creating a partnership, employment relationship, or joint venture between the parties.

15. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

16. Governing Law

These Terms are governed by the laws of the State of Maryland, United States.

Any disputes shall first attempt resolution through negotiation. If unresolved, disputes may be submitted to binding arbitration.
